Linhua Chen is a senior counsel of Han Yi. Linhua has represented various domestic and foreign companies and provided legal services in the areas of corporate finance, overseas securities offerings, foreign direct investment and general corporate matters. Linhua has significant experience in handling issues related to listings of PRC state-owned and private enterprises in Hong Kong and has advised issuers as well as underwriters in several dozen of Hong Kong IPOs involving PRC domestic enterprises or operations, such as China Agrotech (which was the first agricultural company listed on the GEM board of the Hong Kong Stock Exchange), COSL and AviChina. In foreign direct investment practice area, Linhua has, as the PRC counsel to international as well as domestic Chinese clients, provided comprehensive legal services throughout the investment process. Linhua represented China Life in its establishment of a property insurance company through overseas private placement, advising on various legal aspects such as industrial policy, regulatory restrictions, and transaction structure and participating in the negotiation with potential foreign investors. In general corporate practice area, Linhua has been extensively involved in the representation of both PRC state-owned and foreign-invested enterprises in connection with a wide range of general corporate and commercial activities and has helped them navigate through China's complex legal landscape. Prior to joining Han Yi, Linhua practiced with one of the major PRC law firms for several years. Before returning to mainland China, Linhua worked in Hong Kong for about a decade with a few leading Hong Kong law firms and the Hong Kong office of a well-known U.S. law firm. Linhua was educated at Peking University (LL.B.), and also studied common law courses offered by the University of London at the University of Hong Kong. Linhua is admitted to the Chinese bar and is fluent in English and Chinese (including Mandarin and Cantonese).
