LINDA HE Partner

Linda He is the managing partner of Han Yi. Her major practice areas include private equity, M&A, healthcare, TMT, antitrust and competition, project finance and banking, foreign direct investment, outbound investment, real estate, and general corporate matters. In private equity, M&A and foreign direct investment areas, Ms. He has been extensively involved in the representation of such institutional investors and multinational companies as Morgan Stanley, UBS, Citigroup, Intel China and Daimler Group in connection with their equity or asset acquisition transactions, cross-border restructurings, establishment and liquidation, among others. In healthcare area, Ms. He has advised numerous leading international and domestic investment institutions in the whole process of their investment to hospitals, pharmaceutical companies, health checkup centers, medical device manufacturers and other target companies. In real estate area, Ms. He has provided extensive and specialized legal services to several well-known real estate funds in their investments to domestic residence and commercial real estate. In competition law area, Ms. He has provided legal advices for various large-scale cross-border transactions on merger control filings and other competition law and antitrust law issues. In financing practice area, Ms. He has assisted many domestic and foreign financiers, sponsors as well as project companies in various China-related financing transactions including World Bank-financed infrastructure projects, NPL, securitization, and consumer credit assignments. In addition, Ms. He also provides routine legal advisory support to many leading multinational companies on general PRC corporate matters. Prior to joining Han Yi, Ms. He worked with two leading PRC law firms for several years where she gained solid legal experience with respect to such diverse industries as high-tech, real estate, chemical, financial services, infrastructure, entertainment and education.


Ms. He has been ranked and recommended by Chambers & Partners in the area of Private Equity – Buyouts & Venture Capital Investment in China for several years. She is the co-author of the inaugural edition of Chambers' 2019 Global Practice Guide for Private Equity in China and China’s Trends & Developments chapter of Chambers' 2022 and 2023 Global Practice Guide on Digital Healthcare.


Ms. He was educated at Columbia Law School (LL.M.), Nankai University (LL.M.), Nanjing University – Johns Hopkins University Center for Chinese and American Studies, and Zhejiang University (LL.B.). She is admitted to the Chinese bar and is fluent in English and Chinese.
